Additional terms for the MTA between PROVIDER and RECIPIENT
• The Materials are protected under the Patent Rights.
• Additional I. Definition 12. "Patent Rights" shall mean the patent applications entitled Self-inactivating Viral Vector filed on the 2 May 2017 with a UK priority number GB1706945.1 and any and all patent application(s) and patents deriving or claiming priority from any thereof or otherwise relating to the aforementioned patent application including all divisionals, continuations, reissues, extensions, registrations and supplementary protection certificates in relation to any thereof.
• Term II.8 - include at the start of the sentence 'Except in respect of Unauthorised Results,'.
• Term II.14 - Paragraphs 8, 16 and 17 shall also survive termination.
• Additional term II.15 - IT IS EXPRESSLY UNDERSTOOD AND AGREED BY THE RECIPIENT, AND THE RECIPIENT AGREES, AND PROCURES THAT ITS RECIPIENT SCIENTISTS SHALL AGREE, THAT THE MATERIALS WILL NOT BE MODIFIED OR IMPROVED IN ANY WAY WITHOUT THE PRIOR WRITTEN CONSENT OF THE PROVIDER.
• Additional term II.16 - If the Recipient is in breach of term II.15, any data, results, materials or intellectual property arising of such unauthorised use (the "Unauthorised Results") shall vest in and be owned absolutely by the Provider. The Recipient shall promptly inform the Provider of the generation of such Unauthorised Results and deliver such Unauthorised Results to the Provider at the Provider's request. The Unauthorised Results shall be kept confidential at all times and the Recipient will not be free to use or to licence, assign or otherwise grant any rights to any third party in such Unauthorised Results.
• Additional term II.17 - Subject to term II.15, all other references to MODIFICATIONS are removed from the Agreement. In the event of any dispute arising from the terms of the Agreement, this term II.17 shall prevail.
